Terms of Service
These Terms of Service ("Terms") constitute a legally binding agreement between you and Welthra governing your access to and use of the platform.
1. Acceptance of Terms
By creating an account, accessing, or using any part of the Welthra platform, website (welthra.ai), application (app.welthra.com), APIs, or related services (collectively, the "Services"), you agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an organization (such as an insurance agency or brokerage), you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use the Services.
2. Description of Services
Welthra provides an AI-powered customer relationship management (CRM) platform designed specifically for licensed life insurance agents and agencies. The Services include, but are not limited to:
- Lead Management — Import, organize, track, and manage insurance prospect data through customizable pipeline stages.
- Automated Follow-Up — Multi-channel automated outreach sequences via SMS, email, and voicemail drops, subject to applicable telecommunications regulations.
- AI Copilot — AI-generated scripts, objection handling suggestions, follow-up recommendations, and real-time communication assistance embedded within the platform interface.
- Speed-to-Lead Enforcement — Automated timers, alerts, and first-contact triggers designed to reduce lead response times.
- Agent Scorecards — Performance tracking dashboards measuring speed-to-lead, dial activity, contact rates, appointment rates, show rates, application submission, and issued-paid ratios.
- Attribution and Reporting — Source attribution, lead quality tagging, cost-per-booked-call, and cost-per-issued-paid analytics.
- Pipeline Management — Insurance-native pipeline stages including New Lead, Contacted, Booked, Showed, Fact Find, Illustration, App Submitted, Underwriting, and Issued Paid.
Welthra reserves the right to modify, suspend, or discontinue any feature or aspect of the Services at any time, with or without notice.
3. Eligibility
To use the Services, you must:
- Be at least eighteen (18) years of age.
- Hold a valid, active life insurance license in at least one U.S. state, or be an employee or contractor of an entity that holds such license.
- Provide accurate, current, and complete registration information.
- Maintain the accuracy of your registration information throughout the duration of your account.
- Comply with all applicable federal, state, and local laws, regulations, and industry guidelines, including but not limited to TCPA, CAN-SPAM, state insurance regulations, and Do Not Call requirements.
4. Account Registration and Security
4.1 Account Creation
You must create an account to access the Services. You agree to provide truthful and complete information during registration, including your legal name, email address, phone number, agency affiliation, and insurance license information. Welthra may verify your license status and reserves the right to deny or revoke access if your license is invalid, expired, or suspended.
4.2 Account Credentials
You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any API keys. You agree to immediately notify Welthra at hello@welthra.ai of any unauthorized use of your account or any other security breach. Welthra shall not be liable for any loss or damage arising from your failure to safeguard your account credentials.
4.3 Account Termination by Welthra
We reserve the right to suspend or terminate your account at our sole discretion, with or without notice, if: (a) you violate these Terms; (b) your use of the Services poses a risk to Welthra, other users, or third parties; (c) your insurance license is revoked, suspended, or expired; (d) your account is inactive for more than twelve (12) consecutive months; or (e) continued provision of the Services to you is no longer commercially viable.
5. Subscription Plans, Billing, and Payments
5.1 Subscription Plans
Access to the Services requires a paid subscription. Plan details, features, and pricing are described on our website and may be updated from time to time. By selecting a plan, you agree to pay the applicable fees.
5.2 Billing Cycle
Subscriptions are billed on a monthly recurring basis. Your billing cycle begins on the date of your initial subscription and recurs on the same date each month. If your billing date falls on a day not contained in a given month, you will be billed on the last day of that month.
5.3 Payment Authorization
By providing a payment method, you authorize Welthra (and our third-party payment processor) to charge your designated payment method for all fees incurred under your subscription plan. You are responsible for ensuring your payment information is current and valid.
5.4 Failed Payments
If a payment fails, we will attempt to process the charge up to three (3) additional times over a seven (7) day period. If all attempts fail, your account may be suspended until payment is received. Welthra is not responsible for any fees charged by your financial institution due to failed payment attempts.
5.5 Refund Policy
All fees are non-refundable except as required by applicable law. No refunds or credits will be issued for partial months of service, downgrade refunds, or unused features. If you cancel your subscription, you will retain access to the Services through the end of your current billing period.
5.6 Price Changes
Welthra may change subscription pricing at any time. We will provide at least thirty (30) days' advance notice of any price increase via email or in-app notification. Your continued use of the Services after a price change takes effect constitutes acceptance of the new pricing.
6. Acceptable Use
You agree to use the Services only for lawful purposes and in compliance with these Terms. You shall not:
- Use the Services to send unsolicited communications in violation of the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, or any applicable state or federal law.
- Upload, store, or transmit any content that is unlawful, defamatory, obscene, fraudulent, or that violates the rights of any third party.
- Attempt to gain unauthorized access to the Services, other user accounts, or any systems or networks connected to the Services.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of any portion of the Services.
- Use the Services to compete with Welthra or to build a substantially similar product or service.
- Resell, sublicense, lease, or redistribute access to the Services without prior written consent from Welthra.
- Use automated scripts, bots, or scrapers to access the Services or extract data, except through our documented APIs.
- Interfere with or disrupt the integrity or performance of the Services, including introducing malware, viruses, or other harmful code.
- Misrepresent your identity, insurance license status, or agency affiliation.
- Use the AI Copilot features to generate content that is misleading, deceptive, or in violation of insurance advertising regulations.
7. Data Ownership and Responsibilities
7.1 Your Data
You retain all rights, title, and interest in the data you upload, create, or input into the Services ("Your Data"), including lead and contact information, notes, communication records, and pipeline data. You grant Welthra a limited, non-exclusive, worldwide license to host, store, process, and display Your Data solely for the purpose of providing and improving the Services.
7.2 Data Accuracy
You are solely responsible for the accuracy, quality, and legality of Your Data, including obtaining any necessary consents from individuals whose data you upload to the platform. Welthra does not verify the accuracy or legality of user-uploaded data.
7.3 Data Export
You may export Your Data at any time through the platform's export functionality. Upon account termination, you will have fourteen (14) days to export Your Data before it is permanently deleted.
7.4 Aggregated and Anonymized Data
Welthra may create aggregated, anonymized, or de-identified data derived from Your Data and usage of the Services. Such data does not identify you or any individual and may be used by Welthra for any business purpose, including product development, benchmarking, and analytics.
8. Intellectual Property
8.1 Welthra's IP
The Services, including all software, algorithms, AI models, user interfaces, designs, text, graphics, logos, and trademarks, are the exclusive property of Welthra or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Nothing in these Terms grants you any right to use Welthra's trademarks, logos, or branding without prior written consent.
8.2 Feedback
If you provide suggestions, feature requests, or other feedback regarding the Services ("Feedback"), you grant Welthra an irrevocable, perpetual, royalty-free, worldwide license to use, modify, and incorporate such Feedback into the Services without obligation or compensation to you.
9. AI Features and Disclaimers
The Services include AI-powered features, including the AI Copilot, automated script generation, lead scoring, and follow-up recommendations. You acknowledge and agree that:
- AI-generated content is provided as a tool to assist, not replace, your professional judgment. You are solely responsible for reviewing, editing, and approving all AI-generated content before using it in communications with prospects or clients.
- AI outputs may contain errors, inaccuracies, or suggestions that may not be appropriate for your specific situation, jurisdiction, or compliance requirements.
- Welthra does not guarantee the accuracy, completeness, or suitability of any AI-generated content for any particular purpose.
- You are solely responsible for ensuring that all communications sent through the platform comply with applicable insurance regulations, advertising guidelines, and consumer protection laws.
10. Telecommunications Compliance
The Services include SMS, email, and voice communication features. You are solely responsible for:
- Obtaining proper consent from recipients before sending any communications through the platform, as required by the TCPA, CAN-SPAM Act, and applicable state laws.
- Maintaining accurate Do Not Call (DNC) lists and honoring all opt-out requests within the timeframes required by law.
- Ensuring all outbound communications comply with applicable telecommunications regulations, including caller ID requirements and time-of-day restrictions.
- Using the platform's communication features only in connection with legitimate insurance business activities.
Welthra provides tools to assist with compliance but does not guarantee compliance. Violation of telecommunications laws may result in immediate account suspension or termination.
11. Third-Party Integrations
The Services may integrate with or provide links to third-party services, applications, or websites. These integrations are provided for convenience and do not imply endorsement. Welthra is not responsible for the availability, accuracy, content, or practices of third-party services. Your use of third-party integrations is governed by the respective third party's terms and policies.
12. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WELTHRA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WELTHRA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WELTHRA DOES NOT PROVIDE FINANCIAL, LEGAL, TAX, OR INSURANCE ADVICE. THE SERVICES ARE A TECHNOLOGY PLATFORM AND SHOULD NOT BE RELIED UPON AS A SUBSTITUTE FOR PROFESSIONAL JUDGMENT.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WELTHRA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WELTHRA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WELTHRA'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO WELTHRA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
14. Indemnification
You agree to indemnify, defend, and hold harmless Welthra, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation, including telecommunications and insurance regulations; (d) your violation of any third party's rights, including privacy rights; or (e) any content or data you upload, store, or transmit through the Services.
15. Dispute Resolution
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
15.2 Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in the State of Delaware. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
15.3 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive the right to participate in a class action lawsuit or class-wide arbitration against Welthra.
15.4 Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
16. Termination
You may cancel your subscription and terminate your account at any time through your account settings or by contacting hello@welthra.ai. Upon termination: (a) your right to access the Services will cease at the end of your current billing period; (b) you will have fourteen (14) days to export Your Data; (c) after the export window, Your Data will be permanently deleted; (d) any outstanding fees will become immediately due and payable. Sections 7.4, 8, 12, 13, 14, 15, and 17 shall survive termination.
17. General Provisions
17.1 Entire Agreement
These Terms, together with the Privacy Policy and any applicable Order Forms or supplemental terms, constitute the entire agreement between you and Welthra with respect to the Services and supersede all prior or contemporaneous agreements, understandings, and communications.
17.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
17.3 Waiver
The failure of Welthra to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
17.4 Assignment
You may not assign or transfer these Terms or your rights under them without Welthra's prior written consent. Welthra may assign these Terms without restriction.
17.5 Force Majeure
Welthra shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, internet or telecommunications failures, or third-party service outages.
17.6 Notices
All notices under these Terms shall be in writing and delivered via email. Notices to Welthra shall be sent to hello@welthra.ai. Notices to you shall be sent to the email address associated with your account.
18. Changes to These Terms
We may revise these Terms at any time by posting an updated version on our website. Material changes will be communicated via email or in-app notification at least thirty (30) days before they take effect. Your continued use of the Services after the effective date of any changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services and terminate your account.
